1. Acceptance of Terms
By accessing or using the Canvassing Made Easy platform (the "Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not access or use the Service. The Service is operated by Canvassing Made Easy ("CME," "we," "us," or "our").
2. Description of Service
Canvassing Made Easy is a cloud-based field operations management platform that provides tools for appointment scheduling, dispatch, route optimization, GPS tracking, lead management, outreach automation, performance reporting, and AI-powered dispatch assistance. The Service is designed for business-to-business use by field service organizations including but not limited to roofing, solar, HVAC, pest control, home security, and windows & doors companies.
3. Account Registration and Responsibilities
3.1 Account Creation
To use the Service, a company administrator must create an account and provide accurate, current information including company name, contact email, and phone number. Administrators are responsible for managing user access within their organization.
3.2 User Responsibilities
You agree to:
- Provide accurate and complete information when creating accounts
- Maintain the security of your login credentials
- Be responsible for all activities conducted under your account
- Notify us immediately of any unauthorized access
- Ensure that all users within your organization comply with these Terms
- Use the Service only for legitimate business purposes
3.3 Acceptable Use
You agree NOT to:
- Use the Service for any illegal or unauthorized purpose
- Upload or store content that infringes on intellectual property rights
- Attempt to access another company's data or disrupt platform security
- Use the outreach features to send unsolicited spam or violate anti-spam laws (CAN-SPAM Act, CASL)
- Reverse engineer, decompile, or attempt to extract source code
- Resell, sublicense, or redistribute access to the Service without authorization
- Use automated tools to scrape, harvest, or collect data from the platform
4. Company Data and Data Ownership
4.1 Data Ownership
You retain ownership of all data you input into the Service, including company information, employee data, customer/lead data, schedules, and outreach content. CME holds a limited license to process your data solely to provide the Service.
4.2 Data Isolation
Each company's data is isolated and access-controlled. Company A cannot access Company B's data under any circumstance.
4.3 Data Retention
Upon account termination, your data will be retained for 30 days to allow for export. After 30 days, all company data is permanently deleted unless legal retention requirements apply.
4.4 Data License
You grant CME a non-exclusive, worldwide license to process, store, and transmit your data as necessary to provide the Service. This license terminates when your data is deleted.
5. AI Features and Automated Tools
5.1 AI Dispatch Assistant
The Service includes AI-powered features that generate recommendations, draft outreach emails, and optimize operations. AI-generated content is advisory only — you are responsible for reviewing and approving all AI-generated content before it is acted upon.
5.2 Outreach Automation
The Growth Engine and outreach features generate email drafts that require explicit human approval before sending. CME does not send any outreach email without administrator approval. You are solely responsible for the content of approved emails and compliance with applicable email regulations.
5.3 No Guarantee of AI Accuracy
AI features may produce inaccurate, incomplete, or inappropriate outputs. You must review all AI-generated content before use. CME is not liable for damages resulting from reliance on AI-generated content.
6. Billing and Subscription
6.1 Subscription Plans
The Service is offered on a subscription basis. Pricing is determined by the number of users, selected features, and the terms agreed upon in the service agreement between Canvassing Made Easy and the subscribing company. All pricing, discounts, and feature inclusions are set forth in the signed contract or service agreement between CME and the client.
6.2 Setup and Onboarding
One-time setup fees may apply based on organization size and complexity, as specified in the service agreement. Onboarding and training are included at no additional cost unless otherwise stated in the contract.
6.3 Billing Cycle
Subscriptions are billed on a recurring basis (monthly or annually) as specified in the service agreement. Fees are charged in advance for each billing period.
6.4 Price Changes
Pricing changes may occur upon contract renewal or amendment. CME will provide at least 30 days' notice before any price change takes effect. Price changes do not apply mid-term to fixed-price contracts.
6.5 Free Trial
CME may offer a free trial period at its discretion. Trial access is limited to specified features and duration. Unused trial time is not refundable or extendable.
6.6 Taxes
The client is responsible for all applicable taxes associated with their use of the Service, excluding taxes on CME's net income.
7. Payment Terms
7.1 Payment Method
The client must provide a valid payment method to maintain their subscription. Accepted payment methods are specified in the service agreement.
7.2 Failed Payments
If a payment fails, CME will notify the client and attempt to process the payment again. If payment is not received within 10 days, the account may be suspended.
7.3 Refunds
Refunds are issued at CME's discretion and as specified in the service agreement. Terms for prorated refunds on annual subscriptions, if applicable, are outlined in the contract.
8. GPS Tracking and Location Services
When GPS features are enabled by a company administrator, the Service collects location data for field team members during active work sessions. The enabling company is responsible for:
- Notifying employees that location tracking is active
- Obtaining necessary consents from employees
- Complying with all applicable labor and privacy laws regarding employee monitoring
- Using location data only for legitimate business purposes
CME is not liable for misuse of GPS tracking features by company administrators.
9. Intellectual Property
9.1 Platform Ownership
The Canvassing Made Easy platform, including its software, design, features, and branding, is the intellectual property of CME. These Terms do not grant you any rights to our trademarks, logos, or proprietary technology.
9.2 Your Content
You retain all intellectual property rights to the content and data you upload to the Service.
9.3 Feedback
If you provide feedback or suggestions about the Service, CME may use that feedback without obligation or compensation.
10. Service Availability and Support
10.1 Uptime
We strive to maintain high availability but do not guarantee 100% uptime. The Service may experience downtime for maintenance, updates, or events outside our control.
10.2 Scheduled Maintenance
We will provide reasonable notice for scheduled maintenance that may impact availability.
10.3 Support
Support is available through the platform's chat interface and email. Response times vary based on issue severity and subscription level.
11. Confidentiality
Both parties agree to keep confidential any non-public information shared during the course of using the Service. This includes pricing, business processes, customer data, and technical details. Confidentiality obligations survive termination of these Terms.
12. Limitation of Liability
12.1 No Liability for Indirect Damages
To the maximum extent permitted by law, CME shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill.
12.2 Liability Cap
CME's total liability for any claim arising from the Service is limited to the amount you paid for the Service in the 12 months preceding the claim.
12.3 No Warranty of Business Results
We do not guarantee specific business outcomes, revenue increases, or operational improvements from using the Service.
13. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
14. Indemnification
You agree to indemnify and hold CME harmless from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Service
- Content you upload or approve
- Outreach emails you send through the platform
- Your violation of these Terms or applicable law
- Your misuse of GPS tracking or employee monitoring features
15. Termination
15.1 Termination by You
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing cycle. No further charges will be applied after cancellation.
15.2 Termination by Us
We may suspend or terminate your account for violation of these Terms, non-payment, or fraudulent activity. We may terminate the Service entirely with 60 days' notice.
15.3 Effect of Termination
Upon termination, your access to the Service ends. You have 30 days to export your data before permanent deletion.
16. Governing Law and Dispute Resolution
16.1 Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
16.2 Dispute Resolution
Any dispute arising from these Terms or the Service shall first be attempted through good-faith negotiation. If unresolved, disputes shall be resolved through binding arbitration in Los Angeles County, California.
16.3 Class Action Waiver
You agree that any dispute will be resolved individually and not as part of a class action.
17. Changes to Terms
We may update these Terms of Service from time to time. We will notify users of material changes by email or through the platform. Continued use of the Service after changes constitutes acceptance of the updated Terms.
18. Third-Party Services
The Service integrates with third-party tools including Google Maps, Gmail, and payment processors. These third parties have their own terms and privacy policies. CME is not responsible for third-party service availability, accuracy, or practices.
19. Entire Agreement
These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and CME regarding the use of the Service. These Terms supersede any prior agreements.
